(“PEP,” “Company,” “we,” “our,” or “us”), including without limitation the website located at pepinc.io, Addie-related services, applications, chat interfaces, and related platforms (collectively, the “Services”).

By accessing, using, registering for, or interacting with the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and Privacy Policy (“Agreement”). If you do not agree to this Agreement, you may not access or use the Services.

This Agreement constitutes a legally binding contract between you and PEP.

1Description of Services

PEP provides technology-enabled care navigation, informational support, healthcare coordination assistance, and post-acute care guidance services for patients, caregivers, families, healthcare providers, and healthcare organizations.

The Services may include:

  • AI-assisted chat and navigation tools;
  • informational and educational resources;
  • care coordination support;
  • referral and lead-generation workflows for healthcare organizations;
  • communication with placement specialists or support personnel;
  • games or engagement features utilizing usernames and account tracking; and
  • related healthcare support functionality.

Certain Services may utilize artificial intelligence technologies, including systems provided by third-party providers such as Anthropic and Meta.

2Eligibility

You must be at least eighteen (18) years old to access or use the Services.

By using the Services, you represent and warrant that:

  • you are legally capable of entering into a binding agreement;
  • all information you provide is accurate and complete; and
  • your use of the Services complies with all applicable laws and regulations.
3No Medical Advice or Emergency Services

The Services are provided for informational, navigational, care coordination, and support purposes only.

PEP, Addie, and any AI-assisted functionality:

  • do not provide medical advice;
  • do not diagnose medical conditions;
  • do not prescribe treatment;
  • do not establish a provider-patient relationship;
  • do not replace licensed healthcare professionals; and
  • are not substitutes for professional medical judgment, diagnosis, or treatment.

Any healthcare-related information generated through the Services, including AI-generated content, may be incomplete, inaccurate, delayed, or inappropriate for your specific circumstances.

You should always seek the advice of qualified healthcare professionals regarding medical decisions or treatment options.

Emergency Disclaimer

Do not use the Services for medical emergencies.

If you believe you are experiencing a medical emergency, call 911 immediately or contact emergency medical services.

4AI-Assisted Services

Certain portions of the Services utilize artificial intelligence and automated technologies.

By using the Services, you acknowledge and agree that:

  • AI-generated responses may contain inaccuracies or errors;
  • outputs may not always reflect current clinical standards or individualized patient circumstances;
  • human personnel may review, monitor, or evaluate AI-generated interactions for quality assurance, operational improvement, safety, support, care coordination, or service delivery purposes;
  • healthcare decisions should not be based solely on AI-generated outputs; and
  • licensed healthcare professionals remain solely responsible for clinical decision-making.

PEP utilizes administrative, technical, and organizational safeguards designed to support secure handling of applicable health-related information; however, no technology platform or transmission method can be guaranteed completely secure.

5User Accounts

Certain portions of the Services may require account registration.

You agree to:

  • provide accurate registration information;
  • maintain the confidentiality of your credentials;
  • promptly notify PEP of unauthorized account activity; and
  • accept responsibility for activities occurring under your account.

Usernames may be used for non-clinical engagement functionality, including progress tracking and game-related features.

PEP reserves the right to suspend or terminate accounts at its discretion, including for suspected misuse, fraud, unlawful conduct, or violations of this Agreement.

6Information We Collect

We may collect the following categories of information:

Personal Information

  • name;
  • email address;
  • username;
  • phone number;
  • organization or employer information; and
  • communications submitted through the Services.

Health-Related Information

Users may voluntarily provide limited health-related information, including:

  • medical conditions;
  • care needs;
  • post-acute care preferences;
  • care coordination inquiries; and
  • related information submitted for navigation or placement support purposes.

PEP does not intentionally collect electronic health record (“EHR”) data directly through the public website.

Technical Information

  • usage activity; and
  • system interaction logs.

Conversation and Interaction Logs

PEP may retain chatbot interactions, support communications, and related logs for:

Certain interactions may be reviewed by placement specialists or authorized personnel.

7Health Information and HIPAA

PEP may, in certain business relationships, operate pursuant to Business Associate Agreements (“BAAs”) with healthcare organizations.

Not all interactions with the Services are subject to the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”).

By voluntarily submitting health-related information through the Services, you acknowledge and agree that:

  • you are voluntarily providing such information;
  • you have authority to provide the information submitted;
  • PEP may use the information to facilitate care navigation, support, referral coordination, and related operational purposes; and
  • certain communications may not constitute HIPAA-covered transactions.

PEP implements safeguards designed to support the protection of applicable health-related information consistent with applicable legal and operational requirements.

8How We Use Information

We may use collected information to:

  • provide and improve the Services;
  • respond to inquiries and support requests;
  • facilitate care navigation and placement support;
  • connect users with healthcare organizations or care providers;
  • improve AI systems and operational workflows;
  • maintain platform security and integrity;
  • conduct analytics and performance monitoring;
  • comply with legal obligations; and
  • communicate with users regarding Services, updates, or operational notices.

We may create and utilize aggregated, anonymized, or de-identified data for analytics, operational improvement, research, reporting, and enhancement of the Services, provided such information does not reasonably identify individual users.

14Intellectual Property

All content, software, technology, trademarks, logos, designs, and materials associated with the Services are owned by or licensed to PEP and are protected by intellectual property laws.

PEP does not control and is not responsible for:

16Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied.

To the maximum extent permitted by law, PEP disclaims all warranties, including:

  • merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • accuracy;
  • reliability; and
  • availability of the Services.

PEP does not warrant that:

  • the Services will be uninterrupted or error-free;
  • defects will be corrected;
  • AI outputs will be accurate or suitable for any particular purpose; or
  • the Services will always be secure.
17Limitation of Liability

To the maximum extent permitted by law, PEP and its affiliates, officers, employees, contractors, licensors, and agents shall not be liable for:

  • indirect;
  • incidental;
  • consequential;
  • special;
  • exemplary; or
  • punitive damages,

including loss of profits, data, goodwill, business interruption, or healthcare outcomes arising from or related to the Services.

In no event shall PEP’s total liability exceed one hundred U.S. dollars ($100) or the amount paid by you to PEP during the preceding twelve (12) months, whichever is greater.

18Indemnification

You agree to defend, indemnify, and hold harmless PEP and its affiliates, employees, officers, contractors, and agents from claims, liabilities, damages, losses, and expenses arising from:

  • your use of the Services;
  • your submitted information;
  • your violation of this Agreement; or
  • your violation of applicable law or third-party rights.
19Arbitration Agreement and Class Action Waiver

Mandatory Arbitration

Any dispute, claim, or controversy arising from or relating to this Agreement or the Services shall be resolved exclusively through binding arbitration in the State of Washington.

Arbitration shall be administered by JAMS or a substantially similar arbitration provider under applicable commercial arbitration rules.

You waive any right to participate in court proceedings except for qualifying small claims matters or injunctive relief requests.

Class Action Waiver

You agree that all claims shall be brought individually and not as part of:

  • a class action;
  • collective action;
  • representative action; or
  • private attorney general proceeding.

You expressly waive any right to a jury trial.

20Governing Law

This Agreement shall be governed by and construed under the laws of the State of Washington, without regard to conflict of law principles.

21Changes to This Agreement

PEP may modify this Agreement at any time.

Material updates will be reflected by revising the “Last Updated” date above.

Continued use of the Services following changes constitutes acceptance of the revised Agreement.
